Please read these terms before using ReorderFlow. By installing or using the app, you agree to be bound by these Terms of Service. If you do not agree, do not use the app.
1. About ReorderFlow
ReorderFlow is a Shopify application that helps store owners automatically generate purchase orders when product stock falls to a set reorder point. The service is operated by an individual developer based in Margaret River, Western Australia, Australia ("we", "us", "our").
By installing ReorderFlow from the Shopify App Store and using the service, you ("you", "the Merchant") agree to these Terms of Service and our Privacy Policy.
2. Subscription and billing
2.1 Subscription plan
ReorderFlow is offered on a single subscription plan ("Essential") billed at $19.00 USD per month. All billing is processed by Shopify through their standard app billing infrastructure. By subscribing, you authorise Shopify to charge your billing method on file on a monthly recurring basis.
2.2 Free trial
New installations are eligible for a 7-day free trial. The free trial begins on the date you install the app from the Shopify App Store. No charge is applied during the trial period.
At the end of the 7-day trial, your subscription will automatically convert to the paid plan ($19.00/month) unless you uninstall the app before the trial ends. You will not receive a separate reminder before the trial converts — if you do not wish to continue, uninstall the app before the trial period expires.
Each Shopify store is eligible for one free trial. Repeated installation and uninstallation to obtain additional trial periods is not permitted and may result in immediate billing upon reinstallation.
2.3 Cancellation
You may cancel your subscription at any time by uninstalling ReorderFlow from your Shopify store. Uninstallation ends your subscription effective at the end of the current billing period. Shopify manages the billing cycle — please refer to Shopify's billing documentation for details on how prorated charges or credits are applied.
We do not offer refunds for partial billing periods, except where required by applicable law.
2.4 Price changes
We reserve the right to modify the subscription price. We will give you at least 30 days' notice of any price increase via email or in-app notification. Continued use of the app after the price change takes effect constitutes your acceptance of the new pricing.
3. Acceptable use
You agree to use ReorderFlow only for lawful purposes and in accordance with these Terms. You must not:
- Use the app in any way that violates applicable local, national, or international laws or regulations.
- Attempt to gain unauthorised access to any part of the app, our servers, or data belonging to other users.
- Introduce malware, viruses, or any other malicious code into the app or its connected systems.
- Use the app to send unsolicited commercial communications (spam) to suppliers or any other parties.
- Reverse-engineer, decompile, or attempt to extract the source code of the app.
- Resell, sublicense, or otherwise make the app available to third parties without our written consent.
- Use the app in a way that could damage, disable, overburden, or impair its functionality.
We reserve the right to suspend or terminate your access to the app without notice if we determine, in our sole discretion, that you have violated these acceptable use provisions.
4. Your responsibilities
You are responsible for:
- Maintaining the accuracy of all data you enter into the app, including supplier details, product costs, and reorder quantities.
- Reviewing all purchase orders generated by ReorderFlow before sending them to suppliers. ReorderFlow generates POs based on the data you provide — we are not responsible for errors resulting from incorrect input data.
- Ensuring that your use of the app complies with any contracts you have with your suppliers.
- Keeping your Shopify account secure. Any activity conducted through your ReorderFlow account is your responsibility.
5. Intellectual property
ReorderFlow and its original content, features, and functionality are owned by us and are protected by Australian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the app solely for the purpose of managing your own Shopify store's purchase orders, subject to these Terms.
You retain ownership of all data you enter into the app — including your supplier information, product data sourced from your Shopify store, and purchase orders you create. We do not claim any intellectual property rights over your data.
The ReorderFlow name, logo, and branding are our trademarks. You may not use them without our prior written permission.
6. Third-party services
ReorderFlow integrates with and operates on the Shopify platform. Your use of Shopify is subject to Shopify's Terms of Service. We are not responsible for Shopify's actions, service interruptions, or changes to their platform that affect the functionality of ReorderFlow.
We are not responsible for the content, accuracy, or availability of third-party services linked to or used in connection with the app.
7. Disclaimer of warranties
ReorderFlow is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Warranties that the app will be uninterrupted, error-free, or completely secure.
- Warranties regarding the accuracy or completeness of any purchase order generated by the app.
You use the app at your own risk. We strongly recommend reviewing all generated purchase orders before sending them to suppliers.
8. Limitation of liability
To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of — or inability to use — ReorderFlow, including but not limited to:
- Loss of profits, revenue, or business opportunities.
- Losses resulting from errors in purchase orders you send to suppliers.
- Losses resulting from stock-outs, over-ordering, or other inventory management outcomes.
- Loss or corruption of data.
- Losses arising from service downtime or unavailability.
Our total aggregate liability to you for any and all claims arising under or in connection with these Terms shall not exceed the total amount you paid to us in the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes our liability for fraud, fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless ReorderFlow and its operator from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the app; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any content or data you submit through the app.
10. Service availability and modifications
We strive to maintain high availability of the ReorderFlow service but do not guarantee uninterrupted or error-free operation. We reserve the right to:
- Modify, update, or discontinue any feature of the app, with or without notice.
- Perform scheduled or emergency maintenance that may temporarily interrupt the service.
- Discontinue the app entirely, in which case we will give reasonable notice and, where possible, facilitate data export.
11. Termination
Either party may terminate the service relationship at any time. You may terminate by uninstalling the app from your Shopify store. We may suspend or terminate your access if you breach these Terms, fail to pay subscription fees, or if we discontinue the service.
Upon termination, your right to use ReorderFlow ceases immediately. Sections 5, 7, 8, 9, and 12 of these Terms survive termination.
12. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of Western Australia, Australia, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Western Australia, Australia. If you are a consumer, you may also have rights under the mandatory consumer protection laws of your jurisdiction.

13. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "last updated" date at the top of this page and, where appropriate, notify you via email or in-app notification. If you continue to use ReorderFlow after updated Terms are posted, you accept the revised Terms. If you do not agree to the changes, please uninstall the app before they take effect.
